1. Acceptance of Terms
By accessing or using the Gai Engine platform (the "Service") at https://gai-engine.vercel.app, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.
If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
2. Description of Service
Gai Engine is an AI-powered social media management and business growth platform. The Service allows you to:
- Connect your social media accounts (TikTok, Facebook, Instagram) via OAuth 2.0.
- Generate AI-assisted content including social posts, scripts, campaigns, and SEO pages.
- Review, approve, and publish content to your connected social accounts.
- Manage leads, prospects, referrals, and pipeline data.
- View analytics and engagement dashboards for your connected accounts.
- Run automated marketing workflows that you configure and authorize.
All AI-generated content is submitted for your review and requires your explicit approval before any publishing action is taken. The Service never publishes content autonomously without your authorization.
3. Account Registration
You must create an account to use the Service. You agree to provide accurate information and to keep your credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at legal@gai-engine.com if you suspect unauthorized access.
You must be at least 18 years old to use the Service.
4. Social Media Platform Compliance
By connecting a social media account, you represent and warrant that:
- You are the authorized account holder or have explicit permission from the account holder.
- Your use of the Service complies with the terms of service and community guidelines of each connected platform, including:
- Content you publish through the Service does not violate any platform's community standards or advertising policies.
- You will not use the Service to spam, mislead, or harass other users on any connected platform.
We reserve the right to suspend your access if we receive notice or have reason to believe your use of the Service violates the policies of any connected platform.
5. Acceptable Use
You agree not to use the Service to:
- Publish content that is illegal, defamatory, harassing, deceptive, or violates any person's intellectual property rights.
- Impersonate any person, business, or brand without authorization.
- Generate or publish spam, mass unsolicited messages, or deceptive advertising.
- Reverse engineer, scrape, or extract data from the Service in an unauthorized manner.
- Attempt to gain unauthorized access to other users' accounts or data.
- Use the Service in any way that violates applicable laws or regulations, including data protection laws.
- Build competing products or services using proprietary elements of the Service.
6. AI-Generated Content
The Service uses third-party AI models (including OpenAI) to assist in generating content. You acknowledge that:
- AI-generated content may not always be accurate, complete, or appropriate for your specific context.
- You are solely responsible for reviewing and approving all AI-generated content before publishing.
- We do not guarantee that AI-generated content will be free of errors, bias, or violations of third-party rights.
- By approving and publishing AI-generated content, you take full responsibility for that content.
7. Your Content
You retain ownership of all content you create, upload, or publish through the Service. By using the Service, you grant Gai Engine a limited, non-exclusive license to store, process, and transmit your content solely as necessary to provide the Service (for example, sending your approved post to TikTok's API for publishing on your behalf).
You represent that you have all necessary rights to any content you submit and that doing so does not violate any third-party rights or applicable law.
8. Lead and Prospect Data
If you enter personal information about third parties (such as leads, prospects, or referrals) into the Service, you represent that:
- You have a lawful basis for processing that information under applicable data protection laws.
- You will not enter sensitive personal data (such as financial account numbers, health information, or government IDs) into the Service.
- You will honor any deletion requests from individuals whose data you have entered.
9. Intellectual Property
The Gai Engine platform, including its design, code, features, and branding, is owned by Gai Engine and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our written permission.
TikTok, Facebook, and Instagram are trademarks of their respective owners. Gai Engine is not affiliated with, endorsed by, or sponsored by TikTok, Meta, or any other social media platform.
10. Third-Party Services
The Service integrates with third-party platforms and APIs. We are not responsible for the availability, accuracy, or policies of these third-party services. Changes to third-party APIs may affect features of the Service, and we do not guarantee uninterrupted access to integrations.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
We do not guarantee that content published through the Service will achieve any particular result on social media platforms, including reach, engagement, or follower growth.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GAI ENGINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING DAMAGES RESULTING FROM LOSS OF DATA, REVENUE, OR REPUTATION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.
13. Indemnification
You agree to indemnify and hold Gai Engine harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) content you publish through the Service; (c) your violation of these Terms; or (d) your violation of any third-party rights or applicable law.
14. Termination
You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service at any time if we determine you have violated these Terms, any connected platform's policies, or applicable law, or if we discontinue the Service.
Upon termination, your right to use the Service ceases. We will delete your data in accordance with our Privacy Policy.
15. Modifications to Terms
We may update these Terms at any time. We will notify you of material changes by posting the updated Terms at this URL and updating the effective date. Continued use of the Service after changes constitutes acceptance of the updated Terms.
16. Governing Law
These Terms are governed by the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
